Terms and Conditions

The following terms and conditions apply to all items offered by Julia Woodward unless otherwise agreed in writing. By placing an order, reserving an item, or completing a purchase, the purchaser is deemed to have accepted these terms and conditions. This catalogue is an invitation to enquire or place an order and does not constitute a binding offer to sell. A contract is formed only when an order is accepted in writing by Julia Woodward or by the relevant seller acting through Julia Woodward.

"Julia Woodward" means Julia Woodward, conducting business as Julia Woodward Antykwariat, registered in CEIDG under NIP 8542461078, REGON 545140621, business correspondence address ul. Stanisława Moniuszki, nr 14/2, 73-110 Stargard, Zachodniopomorski, Poland.

"Seller" means Julia Woodward or, where an item is sold on consignment on behalf of a third-party owner or principal, the person or entity identified on the final invoice as the seller or principal. For the purposes of consumer protection and distance-selling liabilities under applicable law, Julia Woodward remains the administrative and contractual counterparty responsible for executing the transaction.

"Purchaser" means the person, institution, or entity purchasing or seeking to purchase an item.

"Consumer" means: (1) A natural person purchasing an item for purposes entirely outside their trade, business, craft, or profession, or (2), a natural person concluding a contract directly related to their business activity, when the content of the contract demonstrates that it does not possess a professional character for that person (arising in particular from the scope of their business activity registered under the provisions of the Central Registration and Information on Business—CEIDG). Any purchaser meeting these statutory criteria is entitled to the mandatory consumer protections detailed herein.

"Item" (or "Object") means any book, manuscript, autograph, historical document, archive, fine print, broadside, map, binding, or related cultural artefact offered for sale by Julia Woodward.

"Material Misdescription" means a verified, non-trivial error or omission in the cataloguing text concerning an Item's fundamental identity, authenticity, edition, priority, or structural completeness. It does not include minor, age-appropriate physical defects, variations in qualified scholarly opinion, or cosmetic discrepancies visible in provided digital imagery.

"Unpublished Material" means any unique manuscript, sketchbook, personal archive, private correspondence, or unprinted autographed document wherein the proprietary, non-disseminated nature of the textual or visual content constitutes a material portion of the Item's market and cultural value.

"Bespoke Commissions" means any personalised work or material alteration undertaken by the Seller at the explicit request of the Purchaser prior to dispatch, including custom conservation, archival mounting, museum-grade framing, specialist rebinding, or the creation of custom presentation enclosures.

"Sales Agreement" means a contract for the sale of an Item within the meaning of the Polish Civil Code, concluded between Julia Woodward and the Purchaser via distance communication methods (including email).

"Personal Data" means any information identifying a natural person collected during the ordering, invoicing, or compliance process, processed by the Seller strictly in accordance with the European General Data Protection Regulation (GDPR) and the Seller's Privacy Policy.

1. Descriptions and Cataloguing

All items are described to the best of our knowledge and belief in accordance with established antiquarian, bibliographical, and scholarly standards. Descriptions are intended to identify the principal bibliographical, historical, physical, and condition features of each item, but are not exhaustive. Minor defects, signs of age, use, repair, conservation, or handling which are consistent with the age and nature of the item may not be individually recorded.

Where collations are provided, they have been checked unless otherwise stated. Measurements are approximate and are normally given in millimetres. References to completeness relate to the work as originally issued, insofar as this can reasonably be determined from the available bibliographical evidence.

Statements concerning date, origin, attribution, localisation, authorship, edition, issue, state, printing history, provenance, rarity, significance, textual priority, completeness, association, and historical interpretation are made in good faith as scholarly opinions based on the evidence available at the time of cataloguing, unless expressly stated in writing as guarantees. No warranty or guarantee is given in respect of such scholarly opinions, interpretations, or attributions unless specifically and unambiguously stated. Terms such as "circa," "c.," "probably," "possibly," "plausibly," "likely," "attributed to," "ascribed to," "circle of," "school of," "workshop of," "follower of," "after," "associated with," "apparently," and similar expressions indicate degrees of opinion, uncertainty, or probability, and should not be read as statements of fact or guarantees. This does not affect the authenticity guarantee described in section 2.

References to autographs, signatures, inscriptions, annotations, hands, ownership marks, or associated persons are likewise made in good faith on the basis of available evidence, comparison, provenance, and scholarly judgement. Unless expressly stated otherwise, Julia Woodward does not provide formal forensic authentication, graphological certification, or third-party expert authentication of autographs, signatures, inscriptions, or handwriting. Purchasers requiring formal authentication should request this before purchase, and any such examination shall be subject to separate agreement.

2. Authenticity

All items are guaranteed authentic so far as reasonably ascertainable. This authenticity guarantee relates to items not being a fake, facsimile, forgery, or modern reproduction unless otherwise stated; that the bibliographical identity confirms the correct edition, issue, state, printer, date unless bibliographical uncertainty is specifically stated; that the completeness/collation is correct as described based on the evidence available at the time of sale; that the provenance is correct as far as can be determined so far as reasonably ascertainable; that the items have been checked against lost/stolen registers based on evidence available at the time of sale; that any obvious institutional provenance marks have been checked to determine deaccession history insofar as this is possible; that the items have been thoroughly checked to have been legally exported and imported where relevant such that the Seller can legally offer them for sale based on evidence available at the time of sale; and that the key value driving attributes are authentic as far as can be reasonably deduced from the available evidence based on evidence available at the time of sale. For authenticity concerning autographs/signatures, this authenticity guarantee applies insofar as applicable under the terms set out in these terms and conditions: in short, autographs and signatures are confirmed to be authentic as a matter of scholarly opinion in good faith. Buyers requiring independent or their own opinions of authenticity should enquire prior to sale such that this can be arranged, subject to agreement in writing.

If an item is found materially not to correspond with its catalogue description, the purchaser may return it in the same condition as received, subject to the return provisions below.

This guarantee applies to authenticity and material misdescription. It does not apply to differences of scholarly opinion, minor defects consistent with age and use, especially those that do not affect the legibility of text, changes in academic attribution or interpretation after the date of sale, or matters expressly stated in the description as uncertain, probable, possible, attributed, ascribed, suggested, or otherwise qualified. Unless an individual catalogue description or invoice expressly states that a particular autograph, signature, inscription, or hand is specifically "guaranteed" as being by a named person, such identifications are statements of scholarly opinion made in good faith and not independent guarantees of authorship.

2.1. Forensic Documentation and Identification Criteria

For the mutual protection of the Seller and the Purchaser, high-value, rare, fragile, or unique items may be subject to detailed non-invasive pre-shipment diagnostic documentation prior to packing. This may include high-resolution digital photography, UV examination, measurements, weight records, and the recording of naturally occurring identifying features, including but not limited to paper foxing, wear, dampstaining or other patterns, chain-lines, watermarks, binding wear, tool marks, marginal stains, marginalia, paper structure, and other distinctive physical characteristics.

Any physical, chemical, UV-reactive, forensic, or other mark or substance applied to the item itself shall be disclosed to the Purchaser before completion of the sale. No such mark shall be applied to the item after completion of the sale without the Purchaser's prior written consent. Marking, sealing, labelling, or diagnostic recording of packaging, transit materials, or removable protective enclosures may be used where appropriate.

In the event of a contractual return or statutory withdrawal, the item returned must reasonably correspond to the recorded diagnostic identifiers, allowing for ordinary environmental variation, transit effects, handling consistent with these Terms and Conditions, and non-material differences. The Seller reserves the right, where permitted by applicable law, to withhold or reduce reimbursement, notify law-enforcement authorities, and/or initiate legal proceedings if the returned item displays material discrepancies indicating item substitution, page removal, replacement of components, or unauthorised alteration.

3. Provenance

Provenance information is provided in good faith based on available evidence. Where known, inscriptions, ownership marks, armorial devices, annotations, institutional stamps, shelfmarks, bookplates, binding evidence, and documented chains of ownership are described. Provenance descriptions may rely on physical evidence, published references, prior cataloguing, institutional records, or other available sources.

Unless expressly stated, provenance statements should be understood as scholarly descriptions and not as warranties of an uninterrupted or complete chain of ownership.

4. Prices

All prices are quoted in Polish złoty (PLN / zł) unless otherwise stated. Foreign-currency equivalents, where supplied, are provided for convenience only and may be recalculated at the exchange rate prevailing at the time of invoice or payment.

Prices are exclusive of shipping, packing, insurance, VAT, import VAT, customs duties, taxes, bank charges, customs clearance charges, export licence fees, import permit fees, or any other charges unless specifically stated in writing.

VAT treatment will be confirmed on the invoice according to the nature and location of the item, the status and location of the purchaser, and applicable law.

For business and institutional purchasers, prices are quoted exclusive of VAT and other charges unless stated. For consumers, prices will be confirmed before contract formation as the total sale price including any applicable VAT or taxes payable to the seller, together with any delivery charges that can reasonably be calculated in advance. Catalogue prices are intended for business, institutional, and trade purchasers unless otherwise stated. Where a purchaser is a consumer, the total price payable, including any VAT or taxes payable to the seller and any calculable delivery charges, will be confirmed before the contract is formed.

5. Availability and Reservations

All items are offered subject to prior sale and availability. A reservation is effective only when confirmed in writing by Julia Woodward.

Reasonable reservation periods may be granted, particularly for institutions requiring internal approval, committee review, or funding confirmation. Unless otherwise agreed in writing, Julia Woodward reserves the right to cancel a reservation if the purchaser does not confirm the order, provide required information, or complete payment within the agreed period.

6. Orders and Invoices

Orders may be placed by email or by another mutually agreed method. An order is not binding until accepted and confirmed by Julia Woodward.

Formal quotations, pro-forma invoices, condition reports, additional photographs, provenance documentation, bibliographical references, and acquisition-support materials may be supplied upon request.

Unless otherwise stated, invoices are payable upon receipt. Julia Woodward reserves the right to cancel any invoice which remains unpaid after a reasonable period or after any payment deadline stated on the invoice.

For very high-value purchases, and particularly for institutional purchasers, it is the Seller's preference, where practicable, to permit the prospective Purchaser and/or the Purchaser's appointed representative(s), curator(s), conservator(s), bibliographer(s), adviser(s), or expert(s) to inspect the item(s) in person before completion of the sale. Any such inspection shall be by prior appointment and subject to reasonable handling, security, conservation, confidentiality, and insurance requirements agreed by the parties. Non-destructive inspection by the Purchaser's appointed experts, curators, conservators, bibliographers, or advisers shall not by itself constitute alteration, misuse, or diminished-value handling, provided it is carried out with reasonable care and in accordance with agreed handling conditions.

In such cases, the sale terms may be individually negotiated and may differ materially from these standard Terms and Conditions of Sale, provided that any such variation is agreed in writing before completion of the sale. In the event of inconsistency between these standard Terms and Conditions and a written item-specific invoice, purchase agreement, institutional addendum, or other written agreement signed or expressly accepted by the parties, the item-specific written agreement shall prevail to the extent of the inconsistency.

To place an order, the Purchaser submits an inquiry via email. The contract is concluded only when the Seller issues a formal confirmation or pro-forma invoice in writing, and the Purchaser confirms acceptance. For Consumers, the final confirmation will clearly state that the order implies an obligation to pay.

For institutional purchasers, individually agreed terms may include, without limitation, extended inspection periods, specific warranties as to title, authenticity, bibliographical identity, collation, completeness, provenance, export/import status, shipping, insurance, risk, reproduction rights, and other acquisition requirements.

Where agreed in writing, the Seller may grant the Purchaser a non-exclusive, royalty-free, worldwide right to use the supplied catalogue description, bibliographical notes, condition summary, and images for acquisition, cataloguing, collection management, exhibition, scholarly, educational, press, fundraising, donor-relations, institutional reporting, and online collection purposes, with appropriate credit where reasonably practicable. Unless expressly agreed otherwise, this permission relates only to materials supplied by the Seller and does not transfer copyright or other intellectual-property rights in the item itself. Nothing in this clause limits any mandatory rights or remedies that cannot lawfully be excluded.

7. Ownership and Consignment

Items offered in this catalogue may be owned by Julia Woodward or may be offered on behalf of third-party owners, consignors, or principals. In such cases, Julia Woodward may act as agent, broker, intermediary, or authorised representative for the owner(s) of the item, unless otherwise stated.

The owner, consignor, or principal of an item may be an individual, institution, company, trust, estate, or other legal entity, and may be established or resident outside Poland, including outside the European Union. Where this is the case, the sale, invoicing, export, import, VAT, customs, ownership-transfer, and payment arrangements may be structured according to the legal, tax, and practical requirements of the relevant transaction.

The identity of a consignor, principal, or underlying owner will normally remain confidential unless disclosure is required by law, regulation, banking, insurance, export-control, cultural-property, anti-money-laundering, tax, customs, or due-diligence requirements, or unless otherwise agreed in writing.

Whether acting as owner or as agent, broker, intermediary, or authorised representative for a third-party owner, Julia Woodward may administer the sale, reservation, invoice, payment arrangements, documentation, shipping arrangements, and purchaser communications unless otherwise agreed. Title to the item shall pass to the purchaser only when payment has been received in full and cleared funds and when Julia Woodward, or the relevant owner acting through Julia Woodward, is legally able to transfer title.

Regardless of any agency/consignment arrangement, Julia Woodward / "the Seller" guarantees good title, authority to sell, authenticity as described in these terms and conditions, lawful export/import status, and refund obligations under the terms.

8. Payment

Payment may be made by bank transfer or by another method agreed in writing. All bank charges, currency-conversion costs, transfer fees, and intermediary-bank charges are the responsibility of the purchaser unless otherwise agreed.

Title to the item remains with the seller until payment has been received in full and cleared funds. No item will be released, shipped, or transferred until full payment has been received unless otherwise agreed in writing.

8.1. High-Value Transaction Screening and Payment Restrictions

To comply with international anti-money laundering (AML) protocols and to prevent payment fraud, the Seller reserves the right to mandate secure Bank Wire Transfer (SEPA / SWIFT) as the exclusive acceptable payment method for any transaction exceeding PLN 10,000 (or foreign currency equivalent), or for any order flagged by internal risk assessment profiles. Where card payments or electronic merchant services are permitted by the Seller, the billing address must correspond exactly with the verified identity of the account holder. The Seller reserves the right to cancel any transaction immediately if the payment processor, issuing bank, or internal fraud detection systems flag the transaction as high-risk, unauthorised, or suspicious.

9. Shipping, Packing, and Insurance

Worldwide shipping is available unless otherwise indicated and subject to any export, import, customs, or legal restrictions applicable to the item.

Items are packed professionally and insured in transit wherever possible. Shipping, packing, and insurance charges are calculated individually according to destination, value, size, weight, method of transport, and any special handling requirements.

Julia Woodward will not under-declare the value of items for customs purposes. All items will be accurately declared to customs.

Risk in the item passes to the purchaser upon delivery to the purchaser or to the purchaser's authorised agent, carrier, freight forwarder, representative, or institution, unless otherwise agreed in writing. An item shall be deemed delivered where it is collected in person by the purchaser or by the purchaser's authorised representative, or where it is personally delivered by Julia Woodward, or by a person acting on her behalf, to the purchaser, the purchaser's authorised representative, or the address stated on the invoice or otherwise agreed in writing. Where Julia Woodward arranges shipping, insurance will normally be maintained until delivery to the address stated on the invoice, subject to the terms of the relevant insurer and carrier. In the case of consumers, risk shall pass only at the time and in the manner permitted by mandatory consumer law.

To protect against interception and payment fraud, items will be shipped exclusively to the address confirmed on the invoice. Any requests to alter the delivery address after payment must be submitted in writing and may require verification or an amended invoice to comply with transport insurance mandates.

9.1. Secure Delivery Protocol and Chain of Custody

All international shipments of high-value cultural objects are dispatched exclusively via premium courier services utilising a mandatory, tracked "Delivered at Place" (DAP) or "Fully Insured Signed Delivery" protocol. Delivery requires an adult signature and physical identity verification by the carrier at the destination address specified on the invoice. Indirect delivery, safe-place drop-offs, carrier rerouting by the Purchaser, or signature waivers are strictly prohibited. The weight of the sealed parcel is verified and officially logged by the carrier at the point of origin. In the absolute rarest event that a package is alleged to have arrived damaged or empty, the Purchaser must preserve all original packaging intact. The Purchaser must notify the Seller promptly, and where reasonably practicable, within 24 hours of any apparent damage, loss, tampering, or empty-parcel issue, preserve all packaging, photograph the parcel and contents, and cooperate reasonably with courier, insurer, and law-enforcement procedures, including the submission of a police report.

10. Export Licences, Import Permits, and Cultural Property

Some items may require an export licence, import permit, customs declaration, cultural-property clearance, or other official authorisation before they can be shipped or received. Requirements may depend on the age, value, origin, category, destination, and legal status of the item.

Where any such licence, permit, clearance, or authorisation is required, completion of the sale, delivery, and/or shipment may be conditional upon it being granted. Julia Woodward may assist with applications and documentation where appropriate, but cannot guarantee that any licence, permit, or authorisation will be granted, nor the timescale for its issue. Where a required export licence is refused, either party may cancel and payments received for the item will be refunded, unless otherwise agreed.

The purchaser is responsible for ensuring that the item may lawfully be imported into the destination country, transported through any transit country, and, where relevant, re-exported or transferred thereafter. The purchaser is also responsible for obtaining any import permits, customs clearances, tax registrations, cultural-property clearances, CITES permits, or other permissions required by local law. Any refusal, delay, seizure, storage charge, tax assessment, additional documentation requirement, or other cost or consequence arising from export, import, transit, customs, tax, cultural-property, or regulatory procedures shall not entitle the purchaser to cancel the sale, reject delivery, withhold payment, or seek compensation, unless otherwise required by law or agreed in writing.

Purchasers should assume that export from Poland or the European Union may require review and, where applicable, formal licensing before shipment. Where export licences are already available, this will be confirmed in writing.

The Seller confirms that, if an export licence, certificate, or cultural-property clearance is required for export from Poland into another European Union member state or a country outside of the European Union, the Seller in such cases agrees not to ship until all required export documentation has been obtained which will be provided in written confirmation prior to shipment, and by digital scan if requested.

10.1. Absolute Accuracy of Customs Declarations and Tax Compliance

The Seller operates under a strict legal compliance framework regarding international cultural goods transit. Under no circumstances will the Seller falsify customs declarations, mark commercial items as "gifts," or under-declare the final purchase value on commercial invoices or transport documents to facilitate the Purchaser's avoidance of import duties or local taxes. The valuation declared to customs authorities will reflect the exact purchase price paid. The Purchaser agrees to defend, indemnify, and hold the Seller completely harmless from any delays, seizures, storage tariffs, or punitive fines levied by foreign customs authorities resulting from the Purchaser's failure to pay local import VAT, custom clearance procedures, or statutory taxes.

11. Taxes, Duties, and Customs Charges

All taxes, duties, import VAT, customs fees, clearance charges, storage charges, brokerage fees, and similar costs imposed by the destination country or by any customs or fiscal authority are the responsibility of the purchaser unless otherwise agreed in writing.

Julia Woodward will provide accurate commercial invoices and reasonable supporting documentation but cannot be responsible for customs valuations, local tax assessments, delays, or decisions made by customs or other authorities.

12. Returns for Material Misdescription

If an item is alleged to be materially misdescribed, the purchaser must notify Julia Woodward in writing within fourteen days of receipt, providing a clear explanation of the alleged misdescription and, where appropriate, supporting evidence. For consumer purchasers, see section 14.

If the claim is accepted, the item must be returned promptly in the same condition as received, with all accompanying documentation, packaging, and accessories where applicable. Upon safe receipt and verification, the purchase price will be refunded.

The right of return for material misdescription does not apply where the relevant matter was stated or reasonably indicated in the catalogue description, condition report, images, correspondence, or invoice; where the claim concerns a matter of reasonable scholarly opinion; or where the item has been altered, repaired, damaged, rebound, cleaned, restored, or otherwise changed after receipt by the purchaser.

13. Statutory Consumer Rights

Nothing in these terms and conditions excludes, limits, or affects any statutory rights which cannot lawfully be excluded, including any mandatory rights available to consumers under applicable Polish or European Union law.

Where a purchaser is acting as a consumer and mandatory distance-selling or other consumer-protection rules apply, the purchaser may have rights in addition to the contractual guarantee described above. Where the purchaser is a consumer and mandatory consumer-protection law applies, these terms shall be read subject to those mandatory rights, including any statutory right of withdrawal, legal guarantee, conformity remedy, complaint right, refund right, or other remedy that cannot lawfully be excluded or restricted. Where the purchaser is a consumer and a mandatory statutory right of withdrawal applies, the purchaser may withdraw within the statutory period in accordance with applicable law.

14. Consumer Sales, Withdrawal Rights, and Legal Guarantee of Conformity

This section applies only where the purchaser is acting as a Consumer and where mandatory Polish or European Union consumer-protection law applies. It does not apply to business, trade, institutional, or professional purchasers, except where mandatory law provides otherwise.

Nothing in these terms excludes, limits, or affects any statutory rights which cannot lawfully be excluded, including any mandatory rights available to Consumers under applicable Polish or European Union law.

Where a Consumer purchases an item by distance contract or off-premises contract and a statutory right of withdrawal applies, the Consumer may withdraw from the contract within fourteen days without giving any reason. In the case of goods, the withdrawal period normally expires fourteen days after the day on which the Consumer, or a person indicated by the Consumer other than the carrier, takes physical possession of the item.

To exercise the right of withdrawal, the Consumer must inform Julia Woodward, or the Seller identified on the invoice, by a clear written statement sent by email or post before the expiry of the withdrawal period. The Consumer may use the model withdrawal form set out below, but use of that form is not mandatory.

If the Consumer withdraws from the contract within the statutory period, the Consumer must return the item promptly and, in any event, no later than fourteen days after notifying withdrawal, unless different written arrangements are agreed. The item must be returned in the same condition as received, together with all accompanying leaves, parts, bindings, cases, boxes, certificates, documents, mounts, wrappers, labels, accessories, and any other accompanying objects where applicable.

Unless otherwise required by law or agreed in writing, the Consumer shall bear the direct cost of returning the item. Given the nature and value of antiquarian books, manuscripts, autographs, prints, broadsides, music, and related cultural objects, the Consumer is requested to contact Julia Woodward before returning the item so that an appropriate return method can be agreed. Return shipping should be by an insured, trackable, securely packed, and appropriate method, suitable for the value, fragility, uniqueness, cultural-property status, and physical nature of the item.

For high-value, fragile, unique, or culturally significant items, including any item with a sale price of PLN 10,000 or more, an appropriate return method may include personal handover, handover to an authorised representative of Julia Woodward or the Seller, handover to an agreed specialist courier, or another insured and trackable method suitable for the item. Any agreed personal handover may take place at Julia Woodward's premises, at the Consumer's address, at a mutually agreed secure location, at an institution, at a bank or professional office, or through another agreed arrangement.

Where personal handover is used, a written handover record may be prepared and signed, identifying the item returned, the date and place of return, the persons present, the accompanying documentation, the condition of the item so far as visible at handover, and any packaging, cases, certificates, documents, mounts, wrappers, labels, accessories, or other accompanying objects returned with it.

For any Consumer return of an item valued at PLN 10,000 or more, the Seller may offer to arrange collection by a specialist courier, authorised representative, or in-person handover at the Seller's expense or at such cost allocation as mandatory law permits. Where the Seller offers such collection, the Purchaser must not dispatch the item by an alternative method without the Seller's prior written agreement, except where mandatory law provides otherwise.

Where the item is returned by carrier, freight forwarder, courier, or post, evidence of return should, where reasonably possible, include the carrier receipt, tracking number, declared value or insurance documentation, date of dispatch, destination address, photographs of the item before packing, photographs of the item as packed, photographs of the sealed parcel, and sufficient information to identify the returned item. For high-value, fragile, unique, or culturally significant items, such evidence is particularly important in order to verify that the item returned is the same item supplied and that it has been packed and dispatched in an appropriate manner. For high-value, unique, fragile, or culturally significant items, "reliable evidence of return" does not include a bare tracking number, proof of postage without declared value, a receipt for an unverified parcel, shipment to an address not approved by the Seller, shipment by a non-approved carrier where approval was reasonably required, or evidence that does not identify the item, parcel, carrier, declared value, destination, and date of dispatch.

Where a valid withdrawal is exercised, the Seller will reimburse the payments received from the Consumer for the item, including the standard outbound delivery cost where required by law, but excluding any supplementary costs arising from the Consumer's choice of a delivery method more expensive than the least expensive standard delivery method offered. Unless otherwise required by law, reimbursement may be withheld until the Seller has received the item back or until the Consumer has supplied reliable evidence of having sent back the item, whichever occurs first. For the purposes of this clause, reliable evidence should be sufficient to identify the item, the method of return, the destination, the date of dispatch or handover, and the carrier, courier, representative, or person to whom the item was entrusted.

The Consumer remains responsible for loss, damage, substitution, incompleteness, or deterioration caused by inadequate packing, unsuitable shipping arrangements, inappropriate handling, or handling beyond that necessary to establish the nature, characteristics, and condition of the item. If the item received back is not the same item supplied, is materially incomplete, has been substituted, altered, damaged, repaired, restored, rebound, cleaned, disbound, marked, or otherwise changed after delivery to the Consumer, or is returned without material accompanying documentation, parts, cases, certificates, mounts, wrappers, labels, accessories, or other accompanying objects, the Seller reserves all rights and remedies available under applicable law, including the right to refuse or reduce any refund where permitted, to recover sums already reimbursed, and to seek compensation for loss, damage, diminution in value, costs, or expenses.

The Consumer is responsible for any diminished value of the item resulting from handling other than what is necessary to establish the nature, characteristics, and condition of the item. In the case of rare books, manuscripts, autographs, prints, broadsides, music, and related cultural objects, handling which may cause diminished value includes, without limitation, removing or altering protective housings, bookplates, mounts, wrappers, cases, labels, or documentation; erasing, cleaning, pressing, repairing, rebinding, restoring, framing, conserving, disbinding, marking, humidifying, flattening, washing, resizing, or otherwise altering the item; exposing the item to unsuitable light, humidity, temperature, pests, smoke, liquid, or handling conditions; or allowing third-party examination, conservation, repair, photography, scanning, digitisation, testing, sampling, exhibition, or transport without prior written agreement.

The statutory right of withdrawal may not apply, or may be limited, in certain cases provided by law, including where an item has been made, altered, framed, mounted, restored, rebound, conserved, personalised, or otherwise prepared to the Consumer's individual specification after purchase, or where another statutory exception applies. Any such exception will be applied only where permitted by mandatory law.

Consumers may also have a statutory legal guarantee of conformity in relation to goods which are faulty, defective, or not as described. These rights are separate from, and in addition to, any catalogue guarantee or return right for material misdescription. Where mandatory consumer law applies, the Seller remains responsible for lack of conformity in accordance with applicable law. Nothing in these terms limits the Consumer's mandatory remedies for non-conforming goods, including any right to repair, replacement, price reduction, refund, or other remedy available under applicable law.

Because the items offered are normally old, used, unique, and historically altered objects, age-related wear, signs of use, repairs, restorations, rebinding, trimming, staining, worming, marginal defects, annotation, ownership marks, library markings, conservation, incompleteness, facsimile leaves, supplied leaves, replacement bindings, later cases, later mounts, later labels, later ownership marks, or other features which are described, shown in images, disclosed before sale, or reasonably consistent with the age, nature, and description of the item shall not by themselves constitute lack of conformity. This does not affect any mandatory rights of Consumers where an item fails to correspond materially with its description or with information expressly confirmed before sale.

Model Withdrawal Form

Where, at the Purchaser's request, the Seller undertakes bespoke framing, mounting, conservation, rebinding, boxing, digitisation, photography, cataloguing, research, restoration, export preparation, or other personalised work, the Purchaser acknowledges that such work may constitute goods or services made to the Purchaser's specification, and that statutory withdrawal rights may be excluded or limited to the extent permitted by mandatory law.

14.1. Right of Diminished Value Assessment Upon Return

Pursuant to Article 34(4) of the Polish Consumer Rights Act, while a Consumer retains the right to withdraw from the contract within 14 days, the Consumer is legally liable for any diminished value of the item resulting from handling it in a manner beyond what is necessary to establish its nature, characteristics, and functioning. Given the volatile, fragile, and collectable nature of antiquarian books, manuscripts, and fine prints, any handling that causes paper creasing, spine stress, structural cracking, skin oil transferring, or environmental damage (smoke, humidity) will be quantified via professional conservation assessment. The Seller reserves the legal right to deduct the exact cost of professional restoration or the calculated loss in market value from the Consumer's final refund amount, allowing for ordinary environmental variation, and non-material differences. Any deduction shall be reasonable, evidence-based, and proportionate, and may be supported by an independent conservation or market assessment where appropriate.

14.2. Protection of Intellectual Exclusivity and Value of Unpublished Materials

For unpublished manuscripts, archives, autographed documents, sketchbooks, or other unique materials where unpublished content materially contributes to value, the Purchaser must not reproduce, publish, disseminate, commercially exploit, or authorise third-party copying of the contents before the expiry of any return or withdrawal period, except with the Seller's prior written consent or as otherwise permitted by mandatory law. If the Purchaser returns the item after unauthorised reproduction, dissemination, or commercial exploitation, the Seller may claim evidence-based compensation for actual diminution in value, subject to applicable law. Any deduction from a refund must be reasonable, proportionate, and supported by appropriate evidence.

15. Condition Reports and Images

Additional photographs and condition reports are available upon request. Condition reports are provided as a matter of opinion and assistance, not as exhaustive records of every defect or feature.

Images are supplied to assist identification and assessment, but colours, scale, texture, paper tone, binding colour, and condition details may vary depending on lighting, photography, screen settings, and reproduction. Purchasers are encouraged to request further images or clarification before purchase where condition is material to their decision. Examination of objects in person is subject to prior arrangement at a mutually convenient location.

16. Institutional Purchasers

Julia Woodward is pleased to assist libraries, museums, universities, archives, and other institutions with acquisition procedures. Formal quotations, pro-forma invoices, collection statements, provenance summaries, condition reports, bibliographical notes, and supporting documentation for committees or funding bodies can be supplied where required.

Reservation periods for institutions may be agreed on a case-by-case basis but remain subject to written confirmation.

17. Anti-Money Laundering, Sanctions, and Compliance

Julia Woodward reserves the right to request identification, proof of address, institutional details, company information, beneficial-ownership information, source-of-funds information, end-use information, tax-identification details, PESEL, NIP, passport or identity-document details, or other documentation where required for legal, regulatory, banking, insurance, sanctions, export-control, cultural-property, record-keeping, or due-diligence purposes.

In accordance with applicable Polish and European Union law, certain transactions may require Julia Woodward to verify and record purchaser, seller, intermediary, representative, provenance, ownership, value, export, import, and due-diligence information, including in registers or records maintained for the trade in cultural property and monuments. By entering into a transaction, the purchaser agrees to provide such information and documentation as may reasonably be required for these purposes.

Julia Woodward may refuse, suspend, or cancel a transaction where required documentation is not provided, where the identity or authority of a purchaser, seller, intermediary, representative, or beneficial owner cannot be satisfactorily verified, where legal or regulatory concerns arise, or where completion of the transaction may breach applicable law, sanctions, anti-money-laundering rules, export controls, cultural-property regulations, or professional due-diligence standards.

18. Limitation of Liability

To the fullest extent permitted by law, Julia Woodward's total aggregate liability in relation to any item, whether arising in contract, tort, misrepresentation, restitution, breach of statutory duty, negligence, or otherwise, shall be limited to the purchase price actually paid for that item.

Except where prohibited by law, the purchaser's sole and exclusive remedy in respect of any material misdescription, breach of guarantee, defect, error, omission, delay, non-performance, failed shipment, export or import difficulty, or other matter relating to an item shall be the return of the item and refund of the purchase price paid, subject to the return provisions set out in these terms.

Julia Woodward shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced losses or damages; loss of profit; loss of revenue; loss of opportunity; loss of anticipated value; loss of market value; loss of goodwill; loss of reputation; loss arising from delay; loss arising from exchange-rate movement; financing costs; professional fees; storage costs; insurance costs; customs charges; import VAT; duties; tax assessments; or losses resulting from customs, export, import, banking, shipping, insurance, carrier, governmental, regulatory, institutional, or other third-party decisions.

Julia Woodward shall not be liable for any loss, damage, delay, seizure, refusal, deterioration, or additional cost arising after risk has passed to the purchaser, or arising from any act or omission of the purchaser, the purchaser's representative, carrier, freight forwarder, institution, customs broker, conservator, framer, binder, restorer, or other third party.

Nothing in these terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including liability for intentional wrongdoing or any mandatory rights which cannot lawfully be excluded. This clause applies to the fullest extent permitted by law and does not limit any mandatory remedies available to consumers or other protected purchasers under applicable law.

18.1. Prohibition of Double Recovery and Chargeback Protocols

The Purchaser shall not knowingly obtain duplicate recovery by retaining both the item and the purchase price. If a payment reversal occurs while the Purchaser retains the item, the Purchaser must promptly either return the item in accordance with these terms or restore payment, subject to any mandatory consumer rights or valid dispute rights. The Seller reserves all legal remedies in cases of wrongful retention or non-payment.

19. Copyright and Reproduction

Catalogue descriptions, photographs, layout, and other materials produced by Julia Woodward remain the copyright of Julia Woodward unless otherwise stated. They may not be reproduced, published, distributed, adapted, or used commercially without prior written permission.

Reasonable short quotations may be made where permitted by applicable copyright law, including for quotation, criticism, review, scholarly, bibliographical, journalistic, acquisition, or citation purposes, provided that proper acknowledgement is given to Julia Woodward and that the quotation is not used in a misleading or commercially prejudicial manner. Images may not be reproduced without prior written permission, except where permitted by applicable law.

Purchase of an item does not transfer copyright, reproduction rights, publication rights, image rights, database rights, or any other intellectual-property rights in the catalogue text, photographs, layout, work, image, or object, except where expressly stated in writing.

20. Errors and Amendments

Julia Woodward reserves the right to correct typographical errors, pricing errors, currency-conversion errors, factual errors, omissions, or catalogue descriptions at any time prior to completion of a sale. Any material correction made before completion of a sale will be communicated to the purchaser where relevant.

Where an item has been offered, reserved, invoiced, or purportedly sold at a price which is manifestly or obviously erroneous, including as a result of a typographical, clerical, formatting, currency, or data-entry error, Julia Woodward reserves the right to withdraw the item from sale, cancel the reservation or invoice, decline to complete the transaction, or require the transaction to proceed only at the corrected price. This applies whether or not an order acknowledgement or invoice has been issued, provided that the error was obvious or reasonably should have been apparent in the circumstances.

If payment has already been received in relation to a transaction cancelled under this clause, Julia Woodward will refund the payment received for the relevant item. Nothing in this clause affects any mandatory rights which cannot lawfully be excluded.

21. Governing Law and Jurisdiction

Unless otherwise agreed in writing, all sales and all matters arising from this catalogue shall be governed by the laws of Poland. For Consumers resident in the European Union, legal proceedings may be brought either in the courts of Poland or in the courts of the place where the Consumer is domiciled.

Any dispute arising from or in connection with a sale shall be subject to the jurisdiction of the competent Polish courts, except where mandatory consumer-protection rules require otherwise. In the case of consumers, this choice of law and jurisdiction shall not deprive the consumer of any mandatory protection or jurisdictional rights available under applicable law.

Unless otherwise agreed in writing, all sales and all matters arising from this catalogue shall be governed by the laws of Poland. For Consumers resident in the European Union, legal proceedings may be brought either in the courts of Poland or in the courts of the place where the Consumer is domiciled.

Pursuant to applicable consumer protection updates, notice is given that alternative dispute resolution options remain available to Consumers:

• Consumers may access the consolidated directory of authorised out-of-court dispute resolution bodies across the European Union, Norway, and Iceland maintained by the European Commission at: consumer-redress.ec.europa.eu/dispute-resolution-bodies
• In Poland, Consumers may seek out-of-court resolution through the relevant Voivodeship Inspectorate of Trade Inspection (Wojewódzki Inspektorat Inspekcji Handlowej) or via the local Consumer Ombudsman (Miejski/Powiatowy Rzecznik Konsumentów).
